On 17 April 2024, Companies House published guidance on applications to remove an overseas entity from the register of overseas entities (RoE) (Guidance: Apply to remove an overseas entity from the register). Under s 9 Economic Crime (Transparency and Enforcement) Act 2022 (ECTEA 2022), an overseas entity that is no longer the registered proprietor of land or property in the UK may apply to the registrar of companies for removal from the RoE (see Overseas companies, Q&A here). The guidance covers when removal applications may be made, the Land Registry searches that should be carried out beforehand and the updated information about the entity and its beneficial owners that must be provided to Companies House (see Q&A here). The guidance notes that information about an overseas entity and its beneficial owners will continue to be publicly available after it has been removed from the RoE. Once an overseas entity has been deregistered for at least two years, the registrar may transfer its historic information to the Public Record Office (s 11 ECTEA 2022).
